1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of Ahdali, an AI-powered accounting platform for Nigerian SMEs.

Ahdali is built and operated by MRT Net Solutions Ltd, a company incorporated in Nigeria (CAC reference CAC/IT/NO116483; TIN 10382696-0001), with its registered office at Suite D0, UYK Hexahub, Balanga Crescent, Area 11 Garki, Abuja, FCT, Nigeria.

In these Terms, "Ahdali", "we", "us", and "our" refer to the Ahdali service operated by MRT Net Solutions Ltd. "You", "your", and "the Customer" refer to the business that subscribes to Ahdali and the individuals who use it on that business's behalf.

Please read these Terms carefully. They form a binding agreement between you and MRT Net Solutions Ltd.

2. Acceptance and Eligibility

  • By creating an account, starting a free trial, or using Ahdali, you accept these Terms. If you do not agree, do not use the service.
  • Ahdali is a business tool intended for registered businesses. It is not intended for personal or consumer use, and it is not intended for anyone under the age of 18.
  • If you register or use Ahdali on behalf of a business, you confirm that you are authorised to bind that business to these Terms, and references to "you" include that business.

3. Description of the Service

Ahdali helps Nigerian SMEs keep their books. Its core features include allowing you to describe transactions in plain language, which Ahdali's AI converts into double-entry accounting records; connecting to your business bank account through Mono (a licensed open-banking provider) to retrieve transactions for reconciliation, on a read-only basis; AI-assisted categorisation, anomaly detection, written report commentary, and a Q&A feature; and, where applicable, pairing you with an independent partner accountant who reviews and signs off your monthly statements through a dedicated portal.

We may improve, change, or discontinue features from time to time.

4. Accounts and Security

  • You must provide accurate, complete information when registering and keep it up to date.
  • You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
  • You must notify us immediately at info@mrtnetsolutions.com if you suspect any unauthorised access to or use of your account.
  • You are responsible for ensuring that everyone you allow to use your account complies with these Terms.

5. Free Trial

  • Ahdali offers a 14-day free trial which includes 50 AI credits.
  • The trial lets you evaluate the service. AI credits included in the trial have no monetary value and are not refundable or transferable.
  • At the end of the trial, you may choose a paid plan to continue using Ahdali. If you do not subscribe, your access to paid features will end. We will tell you what happens to your data — see Section 18.

6. Subscription Plans, Billing, and AI Credits

6.1 Plans

Ahdali is offered on the following monthly subscription plans: Starter — ₦150,000 per month and Growth — ₦250,000 per month. Plan features and limits are described on the Ahdali website at the time of purchase.

6.2 Billing through Paystack

Subscriptions and AI-credit top-ups are billed through Paystack. By subscribing, you authorise us, through Paystack, to charge the applicable fees to your chosen payment method. Ahdali does not store your full card details — card data is handled by Paystack.

6.3 AI credits and top-ups

Use of Ahdali's AI features consumes AI credits. Your plan includes an allocation of credits, and you may purchase additional credits through AI-credit top-ups. Purchased AI credits are non-refundable and non-transferable, except where required by law.

6.4 Renewals

Subscriptions renew automatically each month unless cancelled before the renewal date. It is your responsibility to cancel before renewal if you do not wish to continue.

6.5 Price changes

We may change subscription prices, plan features, or AI-credit pricing. We will give you reasonable advance notice of any price increase. Changes take effect from your next billing cycle. If you do not accept a price change, you may cancel before it takes effect.

6.6 Cancellation and refunds

You may cancel your subscription at any time. Cancellation stops future renewals; it does not, by default, entitle you to a refund for the current paid period. Fees are generally non-refundable except where required by Nigerian law or expressly stated by us in writing.

7. Acceptable Use

You agree not to use Ahdali for any unlawful, fraudulent, or deceptive purpose, including misrepresenting your financial records; upload content that infringes the rights of others or that contains malware; attempt to gain unauthorised access to the platform, other users' data, or our systems; reverse engineer, copy, resell, or commercially exploit the service except as permitted by these Terms; interfere with or disrupt the platform or place an unreasonable load on it; or use the service to provide a competing product.

We may suspend or terminate accounts that breach this section.

8. Ownership of Your Data and Licence to Us

  • You own your financial and accounting data. As between you and us, all transactions, invoices, ledgers, statements, customer and vendor records, and other accounting data you create or upload remain your property ("Customer Data").
  • You grant MRT Net Solutions Ltd a non-exclusive licence to host, store, process, transmit, and display your Customer Data for the purpose of operating and providing the Ahdali service to you. This licence includes processing your data through the sub-processors described in the Ahdali Privacy Policy (including Mono, Paystack, and third-party AI providers).
  • The licence lasts only as long as needed to provide the service and to meet our legal obligations, and ends when your data is deleted in accordance with our retention practices.

9. The Role of AI and Accuracy of Records

This is an important section. Please read it carefully.

  • Ahdali uses artificial intelligence to convert your descriptions into accounting records and to perform categorisation, anomaly detection, and analysis.
  • AI-generated records, categorisations, reports, and answers are tools to assist you. They may contain errors, omissions, or misclassifications.
  • You remain responsible for reviewing your own books. You should check that the accounting records, statements, and reports produced through Ahdali are accurate and complete before relying on them for any decision, filing, or report.
  • Ahdali does not guarantee that AI-generated output is accurate, complete, or suitable for any particular purpose.

10. Tax Filing and Statutory Compliance

  • Ahdali, MRT Net Solutions Ltd, and any partner accountants do NOT file or remit taxes to the Federal Inland Revenue Service (FIRS) or to any other tax authority on your behalf.
  • Tax filing, tax remittance, statutory returns, and all other regulatory compliance obligations of your business remain entirely your responsibility.
  • Ahdali is a bookkeeping and accounting tool. It helps you keep organised records, but it does not discharge your legal obligations to FIRS, your state internal revenue service, or any other regulator.

11. Partner Accountants

  • Where you are paired with a partner accountant, that accountant is an independent professional and not an employee or agent of MRT Net Solutions Ltd.
  • A partner accountant may review and sign off your monthly statements through a dedicated portal and may access your financial data for that purpose.
  • The review and sign-off service is limited to checking the statements presented in Ahdali. It does not include tax filing, tax advice, audit, or any other professional service unless separately agreed in writing with the accountant.
  • We are not responsible for the independent professional judgement, acts, or omissions of partner accountants. Any separate engagement you enter into with an accountant is a matter between you and that accountant.

12. Not a Substitute for Professional Advice

Ahdali provides software tools and informational output. It does not provide accounting, tax, legal, or financial advice. The content generated by Ahdali — including AI commentary and reports — is not professional advice and should not be relied upon as such. For decisions with financial, tax, or legal consequences, you should consult a qualified professional.

13. Intellectual Property

  • All rights in the Ahdali platform — including its software, design, branding, "Ahdali" name and logo, and content (other than your Customer Data) — are owned by MRT Net Solutions Ltd or its licensors.
  • These Terms grant you a limited, non-exclusive, non-transferable right to use Ahdali for your business during your subscription. No other rights are granted.
  • You must not use our trademarks or branding without our prior written consent.

14. Service Availability and "As Is" Disclaimer

  • We aim to keep Ahdali available and reliable, but we do not guarantee uninterrupted or error-free access. The service may be unavailable due to maintenance, updates, or factors beyond our control, including issues affecting Mono, Paystack, AI providers, or hosting infrastructure.
  • To the fullest extent permitted by Nigerian law, Ahdali is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

15. Limitation of Liability

To the fullest extent permitted by Nigerian law:

  • MRT Net Solutions Ltd will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, revenue, business, goodwill, or data, arising from your use of or inability to use Ahdali.
  • We will not be liable for losses arising from errors in AI-generated records or analysis, from your failure to review your books, from your tax or regulatory non-compliance, or from the acts or omissions of partner accountants or third-party providers.
  • Our total aggregate liability to you for all claims arising out of or relating to these Terms or the service, in any 12-month period, will not exceed the total subscription fees you paid to us for Ahdali in that 12-month period.
  • Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Nigerian law.

16. Indemnity

You agree to indemnify and hold harmless MRT Net Solutions Ltd, its directors, employees, and partners from and against any claims, losses, liabilities, and reasonable costs arising from your breach of these Terms, your misuse of the service, your unlawful conduct, or your failure to meet your tax or regulatory obligations.

17. Suspension and Termination

  • By you: You may stop using Ahdali and cancel your subscription at any time, as set out in Section 6.
  • By us: We may suspend or terminate your access if you breach these Terms, fail to pay fees due, or use the service unlawfully or in a way that creates risk for us or other users.
  • We may also terminate or suspend the service generally on reasonable notice.
  • On termination, your right to use Ahdali ends. Sections that by their nature should survive — including data ownership, disclaimers, limitation of liability, indemnity, and governing law — continue to apply.

18. Data Export on Termination

For a reasonable period before or after your account ends, you may request an export of your Customer Data in a commonly used, machine-readable format. After that period, and subject to our legal retention obligations, we may delete your data as described in the Ahdali Privacy Policy. We recommend you export your records before cancelling.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the platform or by email. Your continued use of Ahdali after the changes take effect means you accept the updated Terms.

20. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • The parties will first try to resolve any dispute amicably through good-faith discussions.
  • If a dispute cannot be resolved amicably, it will be subject to the jurisdiction of the courts of Abuja, FCT, Nigeria, without prejudice to any right the parties may agree to refer a dispute to arbitration or mediation in Nigeria.

21. General

  • Entire agreement: These Terms, together with the Ahdali Privacy Policy, form the entire agreement between you and us regarding Ahdali.
  • Severability: If any provision is found to be unenforceable, the rest of these Terms remain in full effect.
  • No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a reorganisation or transfer of our business.
